Terms and Conditions

The following Terms and Conditions (the "T&C") govern your use of the Ulpian Services (as defined below), including but not limited to, on a free, trial, proof of concept, beta, or early access basis, unless your use is subject to a separate subscription agreement executed between you and Ulpian. By using the Ulpian Services, with or without registration, you ("you" or the "User") are agreeing to these T&C. If you are using the Ulpian Services on behalf of another entity (such as your employer), you must have the authority to accept the T&C on their behalf.

The T&C outline the conditions for using Ulpian's services, including its artificial intelligence technologies, platforms, websites, applications, add-ons, plug-ins, components, functionalities, programs, and any other services specified in any mutually executed arrangement (collectively, the "Ulpian Services" or the "Services"). The T&C incorporate Ulpian's Privacy Policy and any other documents that specifically reference the T&C.

During the period of Ulpian use, access to the Services is provided on an "as-is" basis without any representations, warranties, or conditions of any kind. Any data or content you share with the Services may be permanently lost upon the expiry of the Ulpian Services use period.

Ulpian AI d.o.o., Avenija Dubrovnik 15, Zagreb, Croatia, PIN: 64992711010 ("Ulpian", "we", "us" or "our") is an AI research and IT development company that provides legal technology services primarily through its platform available at app.ulpian.hr (the "Platform"). The Platform is a research tool, and its output is not legal advice. The output of Ulpian is AI-generated and may contain errors and misstatements or may be incomplete. Ulpian is not authorised to provide legal advice. The Services are intended for use by legal professionals, business entities, and public authorities and not by consumers or non-legal experts.

Ulpian reserves the right to update these T&C by posting the revised T&C on our website (www.ulpian.hr). All changes will take effect upon posting. In case of material changes we will notify you at least one month before such changes apply to you.

When using Ulpian Services, you should adhere to the following general principles:

Accuracy and Verification

• Ulpian is not a substitute for legal advice provided by a lawyer or other legal professional.
• Always cross-check Ulpian's AI-generated results with authoritative legal sources and apply professional judgement.
• Do not rely solely on Ulpian Services for making legal or commercial decisions or providing legal advice.
• You are responsible for the final outcomes and decisions based on Ulpian Services outputs.

Confidentiality and Data Protection

• You are responsible for any input data, including ensuring that it does not violate any applicable law, data protection regulation, privacy policy and client confidentiality agreements.
• You represent and warrant that you have all rights, licences, and permissions needed to provide Input to our Services.
• Never upload sensitive or personal data.

Ethical Use

• Use Ulpian Services in a manner consistent with professional legal ethics.
• Do not use Ulpian Services to mislead, deceive, discriminate or manipulate others.
• Do not repurpose or distribute the output to defraud, scam, spam, bully, harass, defame, discriminate, or promote violence, hatred, or suffering.

You must be at least 18 years old to register to the Ulpian Services. You must provide accurate and complete information to register for an account and maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you furnish information that is false, inaccurate, outdated, or incomplete, we reserve the right to suspend or terminate your account.

Account credentials are specific to the user to whom they are issued. Account credentials may not be shared or made accessible to others, and you are accountable for all activities conducted under your account. It is your responsibility to safeguard the confidentiality of your account credentials. Ulpian bears no liability for any losses or damages resulting from unauthorised use of your account.

Subject to your compliance with the T&C, Ulpian grants you a non-exclusive, non-transferable, non-sublicensable, revocable right to use and access the Services in accordance with the T&C, applicable laws, and only for your internal business purposes.

You agree not to:

• Disassemble, reverse engineer, decode, or decompile any part of the Services
• Utilise any automated or programmed means to access, collect, extract, or copy the Services
• Interfere with or disrupt our Services, including circumventing any rate limits or safety mitigations
• Replicate, rent, lease, sell, loan, transfer, assign, sublicense, distribute, resell, modify, or create derivative works of any part of the Services
• Use the Services to develop competing products or services

The Services, including all associated rights, title and interest in and to all copyrights, trade secrets, trademarks, patents, and other intellectual property rights therein are, and will remain, the exclusive property of Ulpian. Nothing in the T&C transfers ownership rights.

You may not use Ulpian's trademarks, logos, URLs, trade names or product names without prior written consent. You should not imply any relationship or affiliation with, sponsorship, or endorsement by Ulpian. Any feedback, comments, or suggestions you may provide regarding Services is entirely voluntary and we will be free to use such feedback, comments, or suggestions as we see fit.

Input: You may provide input to the Services ("Input"), and receive output generated by the Services based on the Input ("Output"). Input and Output are collectively "Content". As between the parties and to the extent permitted by applicable law, you own all Input. Ulpian hereby assigns to you all its right, title and interest in and to the Output.

Our Use of Content: We may use Content to provide and maintain the Services, comply with applicable law, and enforce our policies. Additionally, we may use your Input to improve our Services, provided that we have received your explicit consent to do so and that such Input does not contain personal data.

Accuracy: AI and machine learning are rapidly evolving fields. Due to the probabilistic nature of machine learning, use of our Services may, in some situations, result in Output that does not accurately reflect real people, places, or facts. You should evaluate the accuracy of any Output as appropriate for your use case, including by using human review.

Ulpian will treat the Content as confidential information. Ulpian shall not disclose Content to third parties except: (i) to its employees, affiliates, or subprocessors who have a "need to know"; (ii) if required to comply with applicable law, regulation, subpoena, or court order; (iii) to investigate and help prevent security threats, fraud, or illegal activity; (iv) to enforce the T&C; or (v) with your prior written consent.

Fees for paid Services shall be as set forth in applicable subscription agreement. All fees are exclusive of applicable taxes. If applicable, Ulpian will add taxes to applicable invoices. Unless otherwise specified, fees are due within thirty (30) days of the invoice date. If you believe that you have been billed incorrectly, you must contact us no later than 60 days after the first billing date on which the error or problem appeared.

We may take action to suspend or terminate your access to our Services or close your account if we determine, acting reasonably and objectively:

• You breached the T&C
• You are not using the Services in good faith
• We must do so to comply with the law
• Your use of our Services could cause risk or harm to Ulpian, our users, or third parties

You (and your end users) are responsible for all decisions made, advice given, actions taken, and failures to take action based on your use of the Services. Ulpian Services use machine learning models that generate predictions based on patterns in data. Output generated by a machine learning model is probabilistic and should be evaluated for accuracy as appropriate for your use case, including by employing human review.

Ulpian disclaims all other representations and warranties, whether implied by operation of law or otherwise, including, without limitation, any warranties of merchantability, fitness for a particular purpose, non-infringement, error-free or uninterrupted operation. The materials are provided on an "as is" and "as available" basis with all defects.

The content provided through the Services is designed to provide practical and useful information on the subject matter covered. It does not constitute legal advice and does not create an attorney-client relationship.

In no event will Ulpian be liable to the user or any third party for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of income, data, profits, revenue, or business interruption, arising out of or in connection with the T&C.

To the extent permitted by law, Ulpian's total liability to the User or any third party for all claims in the aggregate in connection with the T&C shall not exceed EUR 50.

To the extent permitted by law, you will indemnify and hold harmless us, our affiliates, and our personnel, from and against any costs, losses, liabilities, and expenses (including attorneys' fees) from third party claims arising out of or relating to your use of the Services and Content or any violation of the T&C.

Relationship of the Parties: The relationship of the parties under the T&C is one of independent contractors and does not create an agency, partnership, franchise, joint venture, fiduciary or employment relationship.

Assignment: Neither party may assign these T&C without the advance written consent of the other party, except that Ulpian may assign the T&C in connection with a merger or sale of all or substantially all of its assets.

Severability: If any provision of these T&C is found to be invalid, unlawful or unenforceable, such provision shall be replaced with another provision consistent with the purpose and intent of the T&C, and the remaining provisions shall remain in effect.

Governing Law and Jurisdiction: These T&C shall be governed by the laws of the Republic of Croatia. All disputes shall be finally and exclusively settled before competent court in Zagreb, Croatia.

Entire Agreement: These T&C are the complete and exclusive statement of the mutual understanding of the parties in connection with your use of the Services.
